MINUTES of
SPECIAL BOARD MEETING of APRIL 16, 2011
Time 1417 -- Special Meeting to appoint new Vice President Convened
Steve Ruhl, BPAA President, as presiding officer, convened the Special Meeting to appoint a new Vice President on April 16, 2011.
Other Board Members present were:
Dave Fong, Education Officer
Malcolm Saunders, Chief Astronomer
Russell M. Heglund, Secretary
Frank Schroer, Treasurer
Mike Browning, Vice President
Absent: Nels Johanson, Facilities Officer
Visitors:
Bill Baran-Mickle
Charles Higgins
BPAA Bylaws require five Board Members be present to constitute a quorum, therefore a quorum was present.
Time 1418 -- Vice President Resigns (see attached letter of resignation)
Mike Browning, Vice President presents a letter of resignation to the BPAA Board.
Time 1421 -- Office of Vice President declared vacant.
Steve Ruhl, President, declares that the Office of Vice President is vacant.
Time 1422 -- Charles Higgins appointed to office of Vice President.
R. Heglund moved/M. Saunders seconded, to appoint Charles Higgins to the office of Vice President. Motion Passed.
Time 1423 -- Adjournment
S. Ruhl moved/M. Saunders seconded, to adjourn the Special Board Meeting. Motion Passed.
